Practice Description

Representation of national real estate developers in connection with office, retail, residential and industrial properties and portfolios, including: acquisitions, development, management and sales; loan and equity financings, restructurings and settlements; mezzanine and UCC financings; asset management agreements; owners' associations and restrictive covenants; and ownership structures and general corporate counsel work associated with such developers.

Recent Representative Matters
  • Negotiation and documentation of $250 million European investment fund for projects in the U.S.
  • Negotiation and documentation of mezzanine financing for $30 million residential project in Boston, Massachusetts.
  • Structuring and documentation of refinancing of $28 million, luxury mixed -use project in Dallas, Texas with multiple, unaffiliated owners.
  • Negotiation and documentation relating to acquisitions, loan and equity financings, and sales of multi-phrase office complex with restrictive covenants in Austin, Texas.
  • Documentation of over-arching agreements for investments by a REIT in portfolio of multi-family projects in the U.S.
  • Documentation of high-level employment engagement and termination settlement agreements.

  • Chairman of the Board, Video Association of Dallas, 1996-98; former Board member of that organization, the McKinney Avenue Contemporary and other arts organizations.
